1. Who we are
USMarket Inc is a market research and business intelligence firm with its office at 3835 Hixson Pike, Chattanooga, Tennessee 37415, United States, reachable on (423) 633-1342. In these terms, “we”, “us” and “USMarket” mean USMarket Inc; “you” and “client” mean the person or organisation using this website or engaging our services.
2. Services
We provide U.S. market analysis, competitor research, industry trend analysis, customer insights, market sizing and business intelligence services. Work is performed on a project, quarterly or retained basis, as agreed in writing for each engagement.
We do not provide legal, accounting, tax, investment banking or securities advice, and nothing we deliver should be read as such.
3. Engagement documents
Each engagement is defined by a written proposal or statement of work that records the questions to be answered, the method, the deliverables, the timeline and the fee. That document, together with these terms, forms the agreement between us.
Where a proposal or statement of work conflicts with these terms, the proposal or statement of work controls for that engagement. Changes to scope take effect when both parties confirm them in writing, including any effect on fees and timeline.
4. Fees and invoicing
Project work is quoted as a fixed fee. Unless the engagement document says otherwise, we invoice half the fee on commencement and the balance on delivery of the final brief. Retained and quarterly work is invoiced monthly in advance.
Invoices are payable within thirty days of the invoice date. Amounts unpaid after that period may accrue interest at 1.5% per month or the maximum permitted by Tennessee law, whichever is lower. We may suspend work on an engagement with overdue invoices after giving written notice.
Pre-approved out-of-pocket costs, participant incentives, panel recruitment, licensed data sets and travel, are billed at cost. Fees exclude any sales, use or similar taxes, which are your responsibility where they apply.
5. Client responsibilities
Research quality depends on access. You agree to provide the internal data, documents and introductions described in the engagement document, to respond to review requests within the agreed windows, and to name one person who can approve scope decisions.
You confirm that any material you give us may lawfully be shared with us and used for the engagement, and that it does not infringe the rights of a third party. Delays in access or review may move the delivery date; we will tell you when that happens.
6. Confidentiality
Each party will keep the other’s confidential information in confidence, use it only for the engagement, and disclose it only to personnel and contractors who need it and are bound by equivalent obligations. These duties survive the end of the engagement by three years, and indefinitely for trade secrets.
Confidentiality does not apply to information that is public through no fault of the receiving party, was already lawfully held, is independently developed, or must be disclosed by law or court order, in which case we will give you notice where we are permitted to. We will not name you as a client or use your marks in our materials without your written permission.
7. Deliverables and rights
On payment in full, you own the deliverables prepared specifically for your engagement, the findings report, the sizing model and the anonymised interview record, and may use, copy and adapt them inside your organisation and with your advisers, lenders and investors.
We retain ownership of our pre-existing and general know-how: our methods, model structures, question banks, templates and the aggregate, de-identified experience we gain from doing the work. Nothing stops us from serving other clients in the same industry, subject to section 6.
Republishing a deliverable publicly, in whole or in part, or attributing a figure to USMarket Inc in marketing, a prospectus or an offering document, requires our prior written consent so that the figure is presented with its method and date.
8. Research conduct
We conduct primary research on the principles of informed consent and voluntary participation. Participants are told the purpose of the interview and how their responses will be used, are never deceived about the nature of the research, and may withdraw at any time.
Unless a participant gives explicit permission, responses are reported to you in anonymised or aggregated form, and participant identities and contact details are not disclosed. We do not accept instructions to misrepresent our identity, to obtain information in breach of a participant’s own confidentiality obligations, or to use research as a channel for sales.
9. Licensed third-party data
Some engagements draw on data licensed from third parties. Where a licence restricts redistribution, the deliverable will cite the source and, if required, present the material in summary form only. Those restrictions pass to you as a condition of use, and we will identify them in the deliverable.
10. Nature of the findings
Our work is analysis and professional judgement based on the evidence available during the engagement window. Market sizes, forecasts and scenarios are estimates built on stated assumptions; they are not guarantees of market behaviour, revenue or outcome.
We disclose our method, sources and the assumptions that move the answer so you can weigh them. Decisions taken on the strength of our findings remain yours.
11. Warranties and liability
We warrant that services will be performed with the skill and care reasonably expected of a professional research firm, by personnel competent to do the work. If a deliverable falls short of that standard, tell us within thirty days of delivery and we will re-perform the affected work; that is your primary remedy.
Except as stated above, services and deliverables are provided without other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the extent permitted by law.
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business opportunity. Our total liability arising out of an engagement is limited to the fees paid by you for that engagement. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.
12. Term and termination
Either party may terminate an engagement on fifteen days’ written notice, or immediately if the other party materially breaches these terms and does not cure the breach within ten days of notice. Retained arrangements may be ended on thirty days’ written notice.
On termination you pay for work performed and non-cancellable costs committed up to that date, and we hand over the work in its then-current state. Sections 6, 7, 10, 11 and 14 survive termination.
13. Website use
The text, layout and figures on this website are our property or used with permission, and are provided for information only. You may read, print and share pages for your own business evaluation; you may not scrape, mirror, resell or systematically extract the content, or use it to train a model, without our written consent.
Do not use the site or its forms to send unlawful, misleading or infringing material, or to attempt to interfere with its operation. Submitting a brief does not create a client relationship; that begins when a proposal or statement of work is signed.
14. Governing law and disputes
These terms and any engagement are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The state and federal courts sitting in Hamilton County, Tennessee have exclusive jurisdiction, and both parties consent to venue there.
Before filing, the parties will attempt to resolve any dispute in good faith through discussion between senior representatives for thirty days. Neither party may bring a claim more than one year after the event giving rise to it, except for non-payment.
15. Changes and notices
We may update these terms; the effective date above shows when the current version took effect. Changes apply to engagements agreed after that date, and to continued use of the website. The terms in force when your engagement document was signed continue to govern that engagement.
If any provision is held unenforceable, the rest remains in force. Neither party may assign an engagement without the other’s written consent, except to a successor of its business. These terms and the engagement document are the entire agreement between us on their subject matter.
Notices go to USMarket Inc, 3835 Hixson Pike, Chattanooga, TN 37415, or to info@usmarketinc.com, and telephone notice on (423) 633-1342 needs written confirmation.
